Terms of Service

These Terms of Service ("Terms") govern your use of the RxShelf service (the "Service"), operated by Failatech Limited ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you are accepting on behalf of a pharmacy or organisation, you represent that you have authority to bind that entity.
1. The service
RxShelf is a pharmacy management platform providing inventory, point-of-sale, procurement, staff, and reporting features. We may add, change or remove features from time to time. Material changes to core paid features will be communicated in advance where reasonably possible.
2. Accounts and eligibility
You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be a registered pharmacy, or a member of one, to use the Service in production.
3. Your data
You retain ownership of the pharmacy operational data you enter into the Service. You grant us a limited licence to store, process and display it as necessary to provide the Service. We treat this data as confidential and handle it in line with our Privacy Policy.
4. Acceptable use
You will not use the Service to break the law, infringe others' rights, upload malicious code, attempt unauthorised access, reverse engineer the Service, or resell it without our written permission. You are responsible for the accuracy of the records you enter — the Service does not replace professional judgement, dispensing standards, or the requirements of the Pharmacists Council of Nigeria and NAFDAC.
5. Subscriptions, billing and Paystack
Paid plans are billed monthly in Nigerian Naira. Payments are processed by Paystack Payments Limited under Paystack's own terms; by subscribing, you also agree to Paystack's terms for the payment relationship.
Trials, plan limits, and current pricing are shown in-app and on the pricing page. Subscriptions renew automatically until you cancel from the Billing section.
Failed renewals: if payment fails, we may attempt retries and downgrade or suspend the account. Reactivation is available at any time by completing payment.
6. Refunds
Refund eligibility is set out in our Refund Policy at /refund, which forms part of these Terms.
7. Cancellation and termination
You may cancel your subscription at any time; access continues until the end of the paid period. We may suspend or terminate accounts that breach these Terms, that are used unlawfully, or where required by law. On termination, you may export your data within a reasonable window as described in the Privacy Policy.
8. Availability, warranty disclaimer
We work to keep the Service available and reliable, but we do not warrant uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by Nigerian law.
9. Limitation of liability
To the fullest extent permitted by law, Failatech Limited shall not be liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or loss of data arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnity
You agree to indemnify Failatech Limited against claims arising from your use of the Service in breach of these Terms or applicable law.
11. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be submitted to the courts of Nigeria, without prejudice to any right to seek relief permitted by law.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be announced in-app or by email. Continued use of the Service after changes take effect constitutes acceptance.
